Ch 5 · Three Reads on the Dig-Out
Chapter 5 · The Outside Voice
One messy year. Three ways to read it.
The biggest debate isn't a single number — it's whether the dig-out is working. Read the filing, not the headlines.

✦ The bottom line
Same 10-K, opposite conclusions: management sees a turnaround on track; bears see a deal still being written down five years later.
↓ the brief below
From the 10-K · the bet, in their words
If we are unable to successfully execute our strategic transformation, or enter into or close collaborations, joint ventures, partnerships, acquisitions, or divestitures, it may have a material adverse effect on our business...
↳ Translated: the whole plan rests on selling the right pieces and cutting debt fast enough. Management admits the execution risk out loud.

Three ways to read the same filing
1
Management: the core works; we're deleveraging on plan.
Strip out the non-cash write-down and the business is profitable and cash-generative — $850M from operations. The story, in their telling: sell non-core units, cut the dividend, pay down debt, and let a focused IFF compound.
2
The insider: someone close just bet $20M it turns.
A sitting director bought $20.3M of stock on the open market in June 2026. The read: the person with the clearest view of the turnaround is putting personal cash behind it — at around $74 a share.
3
The market: prove the 2021 deal wasn't a mistake.
IFF wrote down another $1.15B of goodwill in 2025 — part of $6B in cumulative write-downs since the mega-merger. The skeptical read: keep shrinking and writing down until growth returns and the debt is visibly lower.
